These Terms of Service ("Terms") govern your use of the Koru desktop application and the usekoru.io website (together, the "Service"), provided by Valencia Labs, LLC("Valencia Labs", "we", "us"). By downloading or using Koru, you agree to these Terms.
By creating an account, downloading, installing, or using Koru, you confirm that you are at least 18 years old and that you accept these Terms and our Privacy Policy. If you are using Koru on behalf of an organization, you represent that you are authorized to accept these Terms for that organization.
Subject to these Terms, Valencia Labs grants you a personal, non-exclusive, non-transferable, revocable license to download and use Koru for your own task and team management, whether personal or professional. We reserve all rights not expressly granted.
Access to the download portal requires signing in through our identity provider using a Google or Microsoft account. You are responsible for maintaining the security of the account you use and for all activity that occurs under it. Notify us promptly of any unauthorized use.
You agree not to:
Koru stores the content you create — tasks, notes, files, and team lists — locally on your own device. You own your content, and you are solely responsible for it, including keeping backups. Because that content does not pass through our servers, you are responsible for its safekeeping, security, and lawful use, including any personal information you add about your team.
The Service, including the Koru software, name, logo, and all related design and content, is owned by Valencia Labs and protected by intellectual property laws. These Terms do not transfer any ownership rights to you.
Sign-in and certain website features rely on third parties such as Clerk, Google, and Microsoft. Your use of those services is governed by their own terms and privacy policies. We are not responsible for third-party services and do not endorse them.
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that it will meet your requirements.
To the maximum extent permitted by law, Valencia Labs will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or goodwill, arising from your use of or inability to use the Service. Our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us in the twelve months before the claim, or one hundred U.S. dollars ($100).
You agree to indemnify and hold harmless Valencia Labs from any claims, damages, or expenses arising out of your use of the Service, your content, or your violation of these Terms.
You may stop using Koru at any time. We may suspend or terminate your access if you violate these Terms or to comply with the law. Provisions that by their nature should survive termination — including ownership, disclaimers, and limitations of liability — will continue to apply.
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. You agree that any dispute arising from these Terms or the Service will be resolved exclusively in the state or federal courts located in California, and you consent to their jurisdiction.
We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. For material changes, we will provide reasonable notice. Your continued use of the Service after an update means you accept the revised Terms.
